1. Agreement

These Terms of Service ("Terms") govern your access to and use of the MyAdvisior.AI website, web application, and mobile applications (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind that organization ("Customer").

2. The service

MyAdvisior.AI is a legal-intelligence software platform for Saudi Arabia and the GCC. It provides AI-assisted tools including legal Q&A with citations, legal research, contract analysis, litigation analysis, compliance assessment, company-formation guidance, due diligence, and law-firm matter management. The available modules depend on the Customer's subscription plan.

MyAdvisior is not a law firm, does not provide legal representation, and the Platform's output is not legal advice. See the AI Usage Disclaimer, which forms part of these Terms.

3. Accounts, tenants, and users

3.1 You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for safeguarding credentials. Multi-factor authentication (MFA) is available and recommended.

3.2 The Platform is multi-tenant. A "Workspace" (tenant) is owned by the Customer. The Customer's administrators manage members, roles, and access within their Workspace. The Customer is responsible for its users' compliance with these Terms.

3.3 You must be at least 18 years old and legally capable of entering into contracts.

4. Subscriptions, plans, and billing

4.1 Plans (Free, Individual, Lawyer Pro, Law Firm, Enterprise) determine the modules, seats, and monthly usage quotas available to a Workspace. Plan entitlements and quotas are enforced by the Platform and are described on our pricing page and in your account's billing dashboard.

4.2 Paid plans are billed in advance on a recurring basis through our payment provider. Fees are stated exclusive of applicable taxes (including VAT), which you are responsible for. Enterprise plans are provided under a separate order or agreement.

4.3 Usage quotas reset each billing period. Exceeding a quota may limit further metered actions until the next period or a plan upgrade. We do not fabricate or silently exceed quotas.

4.4 Unless required by law or stated otherwise, fees are non-refundable. You may cancel a subscription; cancellation takes effect at the end of the current billing period.

4.5 We may change fees or plan contents on prospective notice; changes do not apply to the current paid period already in effect.

5. Customer content and license

5.1 "Customer Content" means data, documents, and materials you upload or generate in the Platform (e.g. contracts, case files, matters). As between the parties, the Customer owns its Customer Content.

5.2 You grant MyAdvisior a limited, non-exclusive license to host, process, and transmit Customer Content solely to provide and support the Platform, and as described in the Privacy Policy and DPA.

5.3 You represent that you have the rights to upload Customer Content and that doing so does not violate law or third-party rights, including confidentiality or legal-privilege obligations you owe to others.

6. Acceptable use

Your use must comply with the Acceptable Use Policy. We may suspend access for violations that threaten the Platform, other customers, or legal compliance.

7. The legal corpus and AI output

7.1 The Platform answers questions against a curated legal corpus. Only reviewed and published sources are used for retrieval; unreviewed material is not surfaced to end users. Answers are presented with citations, a confidence indicator, and the AI provider used.

7.2 AI output may be incomplete, out of date, or incorrect, and must be independently verified by a qualified professional before reliance. You are solely responsible for decisions made using the Platform. See the AI Usage Disclaimer.

8. Intellectual property

The Platform, its software, design, and the MyAdvisior.AI brand are owned by MyAdvisior or its licensors. These Terms grant you a limited, non-transferable, revocable right to use the Platform per your plan. No other rights are granted. You may not copy, reverse-engineer, or create derivative works of the Platform except as permitted by law.

9. Third-party services

The Platform integrates third-party services (e.g. hosting, payments, and AI providers). Your use may be subject to their terms. We are not responsible for third-party services we do not control. A current list of sub-processors is available at [SUBPROCESSOR_LIST_URL].

10. Confidentiality & security

We apply administrative, technical, and organizational measures designed to protect the Platform and Customer Content, including tenant isolation, encryption of data in transit, access controls, and audit logging. No method of transmission or storage is perfectly secure; we do not guarantee absolute security. Security details are summarized on our Security page and in the DPA.

11. Warranties & disclaimers

11.1 We will provide the Platform with reasonable skill and care.

11.2 Except as expressly stated, the Platform is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, including merchantability, fitness for a particular purpose, non-infringement, and that output is accurate, complete, current, or fit for any legal or business decision.

12. Limitation of liability

To the maximum extent permitted by applicable law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data; and (b) MyAdvisior's aggregate liability arising out of or relating to the Platform will not exceed the fees paid by the Customer to MyAdvisior in the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.

13. Indemnity

You will defend and indemnify MyAdvisior against third-party claims arising from your Customer Content, your violation of these Terms or the AUP, or your unlawful use of the Platform, except to the extent caused by MyAdvisior.

14. Suspension & termination

We may suspend or terminate access for material breach, non-payment, or to comply with law or protect the Platform. You may stop using and close your account at any time. On termination, your right to use the Platform ends; we will handle Customer Content as described in the Privacy Policy and DPA (including export and deletion).

15. Changes to these Terms

We may update these Terms. Material changes will be notified (e.g. by email or in-app) with a reasonable effective date. Continued use after the effective date constitutes acceptance.

16. Governing law & disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The competent courts of [GOVERNING_CITY] have jurisdiction, unless the parties agree in writing to arbitration (e.g. under the Saudi Center for Commercial Arbitration). (Confirm dispute-resolution choice with counsel.)
